On the development of Capital Market today, we can observe that a lot of investors, either big or small investor invest their funds in the Capital Market. The risk of in vestors in capital market is bigger than investments to other places, for instance Banks. Therefore, instruments to protect the interest of the investors are needed. One of which can be obtained through disclosure principle. Such disclosure principle reflected in obligations of a legal consultant to prepare 2 important documents which are Legal Audit and Legal Opinion on an initial public offering or rights issue. In relation with the above function, a dilema has arose which is how Is the liabilities of the legal consultant and how far such liabilities if in the future the investors suffer losses for reasons misinformation made by the legal consultant.
