The main characteristic of corporation as a business organization is limited liability of shareholders. According to The Code of Commercial Law of Indonesia (KUHD) shareholders are not liable for any action due to company mistake. However, the new company law of Indonesia, The Act No.1, the year 1995 has incorporated a new principle what so called The Piercing of Corporate Veil. Such a principle has long been accepted in common law legal system. Generally speaking, the piercing of corporate veil principle favors third party the right to sue that shareholders liable with their property. The application of this principle however requires several conditions.
