This study describes some problems in the relationship between the contractor and subcontractor program. Some aspects such as: structure, strategy, operation in production, marketing, and financial division are the area of concern in this study. Based on the field observation, it is shown that some contraints not only emerge from technical and managerial aspects, but also from structural and strategical aspects. The difficulty in developing subcontractor occurs because there is no clarity in estabilishing the philosophical basis and in selecting the "line of bussiness". Therefore, the implementation of contractor-subcontractor program varies from one to another and almost relies on the contractor's creativity and improvisation.
