| A corporation was formed only for limited purpose and therefore it could do nothing more than it was authorized to do. The doctrine of ultra vires provides that when a corporation engages in any business without capacity power to perform such action, then such act was totally void. An ultra vires act was beyond the purpose or power of corporation or it beyond Directors’ capacity to represent and to bind a corporation. |
