The characteristic of the corporation is the separation of assets and limited liability. However, there is a possibility the misuse of power by the shareholder that may jeopardize the interest and asset of the corporation. To overcome this misuse, the law creates a concept, so-called piercing the corporate veil that are to prevent the agency, fraud, sham or facade, group enterprises, and unfairness/ justice problems. The director is vested with principle of fiduciary duties in managing the corporation on the daily basis that restricts him/her from actions detrimental to the corporation. To guide these actions the director can follow a principle, so called, Business judgment rule.
