The Carrefour a France’s retail corporation signed Share Purchase Agreement on 21 January 2008 with P.T. Alfindo and Prime Horizon Pte for acquisition of 75% majority share of Alfa Supermarket at total amount of IDR 674 billion. In 2007, the Carrefour has 30 outlet in all of Indonesia with total omzet over IDR 7 trillion, whilst the Alfa has 31 supermarket’s outlet and eight AGR’s outlet with total omzet more than IDR 3 trillion per year. It is predicted that market share of both the Carrefour and Alfa can reach half of total modern retail businesses in Indonesia. Taking over Coporate’s share bends under regulation of Act No. 40/2007 concerning of Limited Corporation, however there should be consciousness of zvhether acquisition of the Alfa’s share by Carrefour would have impact on retail business competition in Indonesia from the view of Act No.5/1999? In fact, the acquisition directly or inderectly has an impact on the existence of traditional market. Surely, the government commits to assisting and safeguarding traditional market as mandated by article 13 Act No.25/2007 concerning of Investment. Every expansion of business entity which presumably can create unfair competition and can ruin or damage micro business, small, middle and cooperation must keep an eye on for all stakeholders.
