This rearch attempts to analyze simultaneous relationship between managerial ownership, institutional ownership and debt policy in terms of agency perspective by using two stage square. It also attempt to test variabel reducing the agency problems in Indonesia focusing on the companies listed at the Jakarta Stock Exchange 2001-2004, with purposive sampling methode, that is, only the company listed in 2001 and before as well as those that have managerial ownership as sample. From the result of obsevation and selection the sample was 69 companies. The result show that there is simultaneous relationship that is not significant between variabel used. Another one is consistent relationship that is negative relationship between managerial ownership and institutional ownership as well as between intitutional ownership and debt. However, only the relationship between managerial ownership and institutional ownership is significant while between institutional ownership and debt is not.
