Types of relationship such as lender-borrower, franchisor-franchisee, trustee-beneficiary, pension fund-beneficiary, lawyer-dent, board of directors-shareholder, etc. actually reflect thefiduciary relationship. As relationship always embraces risk and cost to the parties involved, thefiduciary duty will balance the gap to prevent the misuse ofpower delegated and to ensure proper performance. Law and economic analysis as used in this article will enlighten our understanding toward the importance and impact offiduciary duty, categorization of transactions into this concept as well as its relation with contract.
