The economic crisis in indonesia has forced bussinessmen to recognize the importance of Good Corporate Governance (GCG) principles in business activities. GCG is one key element in improving economic efficiency, which involves a set of relationships between company management, board of directors, and shareholders. GCG also provides structure through which company objectives are set, the means of obtaining these objectives, and determining performance indicators. In general, four principles of GCG are : 1) transparency , 2) accountability, 3) fairness , 4) responsibility, which had been included in Indonesia Corporate Law specifically Act no. 1 year 1995 on Limited Company Holding and act no. 8 year 1995 on Capital Market. The basic principles of GCG is implemented through distribution of corporate authority, control of corporate management, protecting rights of shareholders, existence of an independent board of directors, ensuring disclosure and transparency, clarifying responsibility of board of directors, etc.
