In 2002, the commercial code was substantially revised. The revision enabled japanese firms to choose freely one type of corporate governance from among various options. One option is the traditional governing structure, with a traditional board of directors, together with traditional auditors. Another important opiton is what is called the "committee system", whereby three committees (nomination committee, compensation committee, and audit committee) consisting mainly of outside directors are placed above the board of directors, the committees being in charge of designating directors, drawing up proposals for their compensation, and auditing them, respectively.
