Structural change in world economy transforms economic order and institution, which in the same time, creates the bigger business opportunity along with the piercing veil of nations boundaries to run business. Because of the need of capital, the exictence of foreign economic power in the form of foreign capital company is no longer a bizarre phenomenon. The other phenomenon is the raising of multinational enterprise (MNE) backed up with capital and political power, which invites some pro's and contm’s. On one side, the existence of MNE in a country will help national macroeconomics, but on the other side, there are worries around the negative impact in politics and economics. Howe vet; the form of MNE becomes interesting for companies, including foreign capital company, to get bigger windfall for them The foreign capital investrnent activity committed by MNE follwing the two phenomenon of the existence of capital foreign investment and MNE, is interesting to be analyzed concerning the background and the legal implication for host state, particularly the liability of MNE to third parties.
