An alternative to the "clash - of - cultures" model commonly ised to explain the difficulties encountered in successfully organizing trans - pacific business ventures is presented in this paper. The theroy of transaction costs is used to develop two stylized alternative models - asian and north american - to explain how the risks associated with complex transactions are managed. Each model is postulated as being appropriate for business transactions given the different commercial environments which exist on opposite sides of the pacific rim. It is hypothesized that the particular risk management mechanisms embedded in each model can explain many of the difficulties associated with organizing trans - pacific business ventures.
