The purpose of this article is to explain the theoretic of roles in business ethic in empowerment of governance principles. Although business ethic and governance principles are normative, but both of them have different functions, those are associated with ethic business concerned by doing healthy business as conceptualization of the corporate social responsibility, economic, legal, ethic and philanthropy responsibilities. Governance principles that will be discussed in this article contain of transparency and accountability. The role of business ethic in transparency and accountability are implemented through profit optimazation and perform legal and ethic business, so will drive punctual reporting and an adequate disclosure (transparency) and responsibility clearly whether required or not.
