The corporation essentially is a legal entity subject of law to implement cooperation among shareholders (association of capital) that needs company organs, which are General Meeting of Sahre Holder (RUPS), a board of Director and a Board of Commissioners, to run a company. RUPS has authority related to the decision on organization structure. Meanwhile, Board of Director and Board of Commissioners have the power related to managing the corporation such as oligarchy rule, voting agreement, fiduciary duties, business judgement rule, piercing the corporate veil and internal and external liability Board of Director and Board of Commissioners as stipulated in Law Number 40 Year 2007 regarding Limited Liability Company.
