The increasing business competition requires the ability of the cooperative to create competitive advantages as a benefit offered to the customers, cooperative performance, and investors and creditors trust, needs supporting assets of human resources as an intellectual capital like competency and commitment. The objectives of this research were to learn the influence cooperative management competency and commitmenttoward cooperative financial performance, member economic promotion and change of capital structure. Grand theory applied on the research are financial management and human resources management, supported by agency theory, and capital structure theory. The research was descriptive in nature, where as the research employs participative method, where sampling technique was based on stratified random sampling. Analytical tool was based on Structural Equation Modeling (SEM). The result of the research showed that: there is no influence of the cooperative’s management competency toward financial performance, but the cooperative’s management commitment will determine the financial performance, That the better of cooperative’s management competency and commitment will determine increasing of member economic promotion, the better of cooperative’s management competency, and commitment, and higher financial performance will determine the better capital structure, but there is no influence of the member economic promotion on change of capital structure.
