Changes to both federal and state laws as well as recent court decisions all seem to point to a growing trend toward a higher level of accountability for members and officers of a corporation’s board of directors. One such federal law, the Sarbanes- Oxley Act of 2002, was enacted to reform the corporate governance of publicly held corporations. Although the law does not apply directly to private home care agencies, senior management and board members of such agencies should heed these changes occurring in the corporate realm.
